Terms of Service

These terms are the agreement between you and Micaiah Bethune, trading as Sample Notes ("we", "us"), of 2389 Main St., Ste. 100, Glastonbury, CT 06033, United States, covering your use of samplenotes.app. By creating an account you accept them.

1. What Sample Notes is

Sample Notes analyses commercially released recordings and returns four cards: tempo and key, a harmonic breakdown, a bar-by-bar chord chart, and production notes covering the instruments, sampler and signal chain likely used on the record.

It is a research and study tool for producers and musicians. It is not a licensing service, a rights clearance service, or a substitute for either.

2. Accuracy — read this one

The analyses are partly measured and partly inferred, and the inferred parts will sometimes be wrong.

To be specific about which is which:

Treat the output as a knowledgeable colleague's opinion: a strong starting point, worth verifying before you rely on it. Do not use it as evidence of authorship, as proof that a sample was or was not used, or as the basis of any legal or commercial claim. We make no warranty that any analysis is accurate, complete or fit for a particular purpose.

3. Credits and what they buy

Card 1 is free. Tempo, key, time signature and scale on any record already in our library, on every plan including the free one, with no credit charged and no limit on how many you look up.

Credits buy access to the rest of a record — the harmonic map, the chord chart and the production suite. You pay once per record. It does not matter whether that analysis was generated a year ago or is being written while you wait; the price is the same, because what you are buying is the analysis, not the computing time.

Once you unlock a record

You can re-open it as often as you like without being charged again. Commissioning an analysis of a record nobody has covered also unlocks it for you — you will never be asked to pay twice for the same record.

What happens if you cancel. Card 1 stays free everywhere, and your unlock history is kept. Cards 2 to 4 on records you unlocked go dormant until you subscribe again — at which point they all come back, and you are not charged for them a second time. Records you unlocked using the free tier's starting credits stay readable permanently.

The two kinds of credit

Credits have no cash value, cannot be transferred between accounts, and cannot be exchanged for money except as set out in section 5.

4. Your account

You must be 18 or older to purchase. One account per person; accounts are not to be shared. Plans that include multiple seats say so explicitly.

You are responsible for the email address on your account. Anyone with access to that inbox can sign in, because that is how magic-link login works. Tell us promptly if you think your account has been accessed by someone else.

5. Payment, renewal and refunds

Subscriptions are billed monthly in advance through Stripe and renew automatically until cancelled. Prices are in US dollars and exclude sales tax, which is added at checkout where applicable.

Cancelling

Cancel any time from Manage billing in the app. Your plan stays active until the end of the period you have already paid for; we do not pro-rate mid-period cancellations. Subscription credits are forfeited when the subscription ends. Top-up credits are not.

Refunds

Contact support@samplenotes.app. We aim to respond within two business days.

Price changes

We may change prices with at least 30 days' notice by email. The new price applies from your next billing period. If you don't want it, cancel before then.

6. What you may and may not do with the output

You may use analyses for your own musical work — studying a record, learning its changes, building on what you have understood. That includes commercial music you go on to make. We claim no rights in your music.

You may not:

Analyses are added to a shared library available to all users. By commissioning one you accept that it becomes part of that library, and that other users may unlock it. Your identity is not attached to it — see the Privacy Policy.

7. Music, rights and third parties

We are not affiliated with, endorsed by, or connected to any artist, producer, label or publisher whose recordings are analysed. Artist names, song titles and album titles are used for identification only, and all trademarks remain their owners' property.

Sample Notes does not reproduce song lyrics, does not distribute audio recordings, and does not grant you any licence to any recording or composition. Cover artwork and preview audio are supplied by Apple's public catalogue and remain the property of their owners.

Nothing in an analysis clears a sample. If you intend to use part of a recording in your own work, you need permission from the rights holders. That is a separate process, and it is on you.

8. Availability

We aim to keep the service running but do not guarantee uptime. The service depends on third parties — payment, email, model and hosting providers — and their outages become ours. We may change or discontinue features. If we discontinue the service entirely, we will give at least 30 days' notice and refund the unused portion of any current subscription period.

9. Suspension

We may suspend or close an account that breaches these terms, particularly for scraping, credential sharing, fraud or payment disputes brought without contacting us first. Where circumstances allow, we will warn you before acting. If we close your account for a reason that is not your fault, we will refund the unused portion of your subscription.

You may close your account at any time by emailing us.

10. Liability

To the fullest extent the law allows, our total liability to you for any claim relating to the service is limited to what you paid us in the 12 months before the claim arose. We are not liable for lost profits, lost opportunities, or damages arising from reliance on an analysis.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited. Some jurisdictions do not allow certain exclusions, in which case those exclusions do not apply to you.

11. Changes to these terms

We may update these terms. If a change materially affects your rights, we will email account holders at least 30 days beforehand. Continuing to use the service after a change takes effect means you accept it.

12. Governing law

These terms are governed by the laws of the State of Connecticut, United States, without regard to its conflict of law rules. Disputes will be heard in the state or federal courts located in Connecticut, and both parties consent to that jurisdiction.
